Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Provistia Inc. ("Provistia," "we," "us," or "our") governing your access to and use of the Provistia platform and services (the "Service").

By creating an account, uploading content, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

Provistia provides an AI-powered platform that enables licensed real estate agents and brokers to generate cinematic listing videos from property photographs. The Service includes but is not limited to:

• AI-generated video creation from uploaded listing photos.
• Voiceover narration and music integration.
• Branded overlays including agent name, brokerage, and contact information.
• Video hosting, sharing links, and download capabilities.
• A buyer-facing share page for individual listings.

You must be at least 18 years old and a licensed real estate professional (or be acting on behalf of one) to use the Service. By registering, you represent and warrant that:

• All registration information you submit is truthful and accurate.
• You will maintain the accuracy of such information.
• You are authorised to act on behalf of any brokerage you associate with your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@provistia.com if you suspect unauthorised access.

4.1 Your Content

You retain full ownership of all photographs, text, and other materials you upload to the Service ("Your Content"). By uploading, you grant Provistia a limited, non-exclusive, royalty-free licence to use, process, reproduce, and display Your Content solely for the purpose of providing the Service to you.

You represent and warrant that you own or have the legal right to upload Your Content and that Your Content does not infringe any third-party intellectual property, privacy, or other rights.

4.2 Generated Videos

Videos generated by the Service using Your Content are provided to you for your own professional use in marketing real estate listings. You may download, share, and use these videos in your real estate business. You may not resell or sub-licence generated videos as a standalone product.

4.3 Provistia IP

The Provistia platform, software, AI models, overlays, design system, and all related technology are the exclusive property of Provistia Inc. You may not copy, reverse-engineer, modify, or create derivative works from any part of the Service.

You agree not to use the Service to:

• Upload content that is false, deceptive, or violates MLS accuracy requirements or fair-housing laws.
• Impersonate any person or entity or misrepresent your affiliation with a brokerage.
• Upload content that infringes third-party intellectual property rights.
• Attempt to probe, scan, or test the vulnerability of the Service or circumvent security controls.
• Transmit viruses, malware, or other harmful code.
• Use automated means to scrape, crawl, or bulk-download content from the Service.
• Violate any applicable local, state, national, or international law or regulation.

Provistia reserves the right to suspend or terminate accounts that violate this acceptable use policy without prior notice.

6.1 Pricing

The Service is offered on a per-video token basis and through subscription plans as described on our Pricing page. All prices are in USD unless otherwise stated.

6.2 Billing

Subscription fees are billed in advance on a recurring basis. Payments are processed by Stripe. By providing payment information, you authorise Provistia (via Stripe) to charge your payment method on the agreed billing cycle.

6.3 Refunds

Tokens consumed in video generation are non-refundable. Unused tokens on a cancelled subscription may be refunded at our sole discretion within 14 days of the last billing date. Contact support@provistia.com with refund requests.

6.4 Changes to Pricing

We reserve the right to change subscription prices with 30 days' advance notice communicated by email and/or in-app notice. Continued use of the Service after the price change takes effect constitutes your agreement to the new price.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVISTIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, NOR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID TO PROVISTIA IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Provistia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to Your Content, your use of generated videos in listing marketing, or your violation of any third-party rights.

Either party may terminate the Service relationship at any time. You may delete your account through your dashboard settings. Provistia may suspend or terminate your account immediately if you breach these Terms.

Upon termination, your right to access the Service ceases immediately. Sections 4.3, 7, 8, 10, and 11 survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration under the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
